When to Upgrade Your Business Structure

Many entrepreneurs start with a Business Name (Sole Proprietorship or Partnership) because it's simpler and faster to set up. However, as the business grows, acquires more assets, or seeks larger contracts, the need for a Limited Liability Company (LTD) becomes apparent.

While the CAC technically uses the term "Registration of a Company in place of a Business Name," most entrepreneurs call it an Upgrade.

Benefits of Upgrading to an LTD

  • Corporate Identity: Larger organizations often prefer dealing with "Ltd" companies for contracts.
  • Separate Legal Entity: Your personal assets are no longer at risk for business debts.
  • Access to Capital: It is significantly easier to get bank loans or investors as an LTD.

The Process of Upgrading with CAC

1. Verification of Status

Ensure your existing Business Name is "Active" on the CAC portal. This means all Annual Returns must be up to date. You cannot upgrade an inactive business name.

Since the name is already "taken" by your Business Name, you must provide a formal letter of consent (from the proprietor) allowing the new Company to use the same or a similar name.

3. Preparation of New Documents

You will need to provide:

  • Details of Directors (minimum 1).
  • Details of Shareholders and share distribution.
  • New Memorandum and Articles of Association (MOA/AOA).

4. Application for Limited Liability Company

A new application is filed on the CAC portal, referencing the existing Business Name registration number (BN Number).

5. Cessation of Business Name

Once the LTD certificate is issued, the old Business Name registration must be formally closed or "ceased" to avoid dual registration issues.

Important Note on Costs

Upgrading is generally more expensive than a fresh registration because it involves both the fees for the new Company and the potential costs of clearing backlogged annual returns for the old Business Name.
